Terms of Use – Ariika Capital

These Terms of Use (“Terms”) govern your access to and use of the website www.ariikacapital.in (“Platform”) and the services offered by Ariika Capital (“Ariika Capital”, “we”, “us”, or “our”). By accessing, browsing, using, or submitting information on the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

2. Applicability & Acceptance

2.1 These Terms apply to all Users of the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2.2 If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2.3 We may, at our sole discretion, add, modify, restrict, suspend, or discontinue any part of the Platform or Services at any time, with or without notice.

5. Our Services

5.1 Ariika Capital is a business advisory and investment banking firm. Through the Platform and offline interactions, we may:

• Provide financial advisory and capital-raising support.
• Introduce you to potential investors, lenders, buyers, or other counterparties.
• Assist in deal structuring, documentation support, and transaction advisory.
• Provide research, analysis, and presentations for strategic and financial decisions.

5.2 The Platform is primarily informational. Any descriptions of Services, transactions, or case studies are illustrative and do not constitute offers, commitments, or guarantees of any outcome.

5.3 We are not a stock exchange, not an online marketplace for securities, and not a deposit-taking institution. We do not guarantee funding, investment, or transaction closure.

5.4 Any transaction that may be entered into between you and any third party (including investors, lenders, or buyers) is an independent contract between you and that third party. Ariika Capital is not a party to such contract unless expressly agreed in writing.

6. Your Responsibilities & Use of the Platform

6.1 You agree that you will:

• Use the Platform in accordance with these Terms and Applicable Law.
• Provide true, accurate, and complete information to us, whether through the Platform or otherwise.
• Not misrepresent your identity, authority, or financial position.
• Use the Platform only for legitimate business purposes and not for any unlawful or fraudulent activity.

6.2 You agree that you will not:

• Use the Platform for any purpose that is illegal, harmful, defamatory, obscene, or infringing on any third-party rights.
• Upload or transmit any viruses, malware, or harmful code.
• Attempt unauthorised access to any part of the Platform, servers, or systems.
• Copy, reproduce, modify, distribute, sell, or exploit any part of the Platform or its content without our prior written consent.
• Use automated systems (bots, spiders, crawlers, etc.) that send more requests than a human could reasonably send using a standard web browser.

6.3 If you submit any content or information through the Platform (such as forms, contact details, pitch decks, financial data, or business information):

• You represent that you have the right and authority to share such information.
• You grant Ariika Capital a limited, non-exclusive, royalty-free right to use such information for the purpose of providing Services to you and for internal analysis, subject to our Privacy Policy.

7. Fees

7.1 Ariika Capital may charge fees for Services, including but not limited to:

• Financial advisory fees.
• Success / transaction-based fees.
• Retainers or project-based fees.

7.2 The specific fee structure, payment terms, and applicable taxes will be as agreed in separate engagement letters, mandates, or agreements between you and Ariika Capital.

7.3 Your use of the Platform itself may be free of charge, but certain value-added services or engagements will be chargeable as per separate written terms.

8. Representations & Warranties by User

You represent and warrant that:

• You have the full power and authority to enter into any engagement with Ariika Capital.
• Any information and documents you share with us are true, accurate, and not misleading in any material respect.
• You will not use the Platform or our Services for any unlawful purposes, including money laundering, financing of illegal activities, or any violation of Applicable Law.

9. Confidentiality

9.1 In the course of engagement, both you and Ariika Capital may share confidential information with each other.

9.2 Each party agrees to:

• Use the other party’s confidential information only for the purpose of providing or receiving Services.
• Restrict disclosure to employees, partners, advisors, or consultants strictly on a need-to-know basis, who are bound by confidentiality obligations.

9.3 Confidentiality obligations shall not apply to information which:

• Is or becomes public (other than by breach).
• Is received from a third party without breach of confidentiality.
• Is required to be disclosed by law, regulation, or court/authority order (in which case, reasonable notice will be given where legally permissible).

10. Intellectual Property

10.1 The Platform, its design, layout, text, graphics, logos, and all content, unless otherwise indicated, are the intellectual property of Ariika Capital or its licensors.

10.2 You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes, in accordance with these Terms.

10.3 Nothing in these Terms shall be construed as transferring any intellectual property rights to you. All rights not expressly granted are reserved.

10.4 You shall not use our names, logos, trademarks, or branding without our prior written consent, except where we explicitly allow such use (for example, where we mention that you may state “Advised by Ariika Capital” in a deal tombstone after written mutual agreement).

11. Disclaimers

11.1 The Platform and its content are provided on an “as is” and “as available” basis, without any warranties, express or implied.

11.2 Without limiting the generality of the foregoing, Ariika Capital does not warrant that:

• The Platform will always be available, uninterrupted, or error-free.
• The information on the Platform is complete, up to date, or suitable for your specific purposes.
• Any third-party introduced to you will be suitable, creditworthy, or reliable.

11.3 Nothing on the Platform constitutes investment advice, legal advice, tax advice, or an offer to buy/sell securities. You should obtain your own independent professional advice before entering into any transaction.

12. Limitation of Liability

12.1 To the maximum extent permitted by Applicable Law, Ariika Capital shall not be liable for any:

• Indirect, incidental, special, punitive, or consequential damages;
• Loss of profits, business, goodwill, or data;
• arising out of or in connection with the use of the Platform or any reliance on its content.

12.2 Our total aggregate liability, if any, arising out of or relating to your use of the Platform shall be limited to INR 10,000 or the actual fees paid by you to Ariika Capital for Services in the 3 (three) months preceding the claim, whichever is lower.

13. Indemnity

You agree to indemnify and hold harmless Ariika Capital, its partners, employees, and affiliates from and against any losses, claims, damages, liabilities, costs, and expenses (including legal fees) arising out of:

• Your use or misuse of the Platform;
• Any breach of these Terms;
• Any misrepresentation or wrongful disclosure of information made by you.

14. Term & Termination

14.1 These Terms remain in effect for as long as you access or use the Platform.

14.2 We may, at any time and at our sole discretion:

• Suspend or terminate your access to the Platform; and/or
• Restrict or disable certain features,
• with or without notice, for any reason including violation of these Terms or Applicable Law.

14.3 Termination will not affect any rights or obligations that have already accrued to either party.

15. Governing Law & Dispute Resolution

15.1 These Terms shall be governed by and construed in accordance with the laws of India.

15.2 Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts at Rajasthan, India.

16. Changes to These Terms

16.1 We may revise or update these Terms at any time. The latest version will be available on the Platform with an updated “Last updated” date.

16.2 Continued use of the Platform after changes are posted shall constitute your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Platform.
